These Terms of Service (“Terms”) govern your access to and use of Outla, a software service operated by Vladyslav Dmytriiev, (“Outla”, “we”, “us”, or “our”).

By using Outla, you agree to these Terms. Your use of Outla is also governed by our Privacy Policy.


1. What Outla Does

Outla is a software platform that helps users create, manage, and share professional client offers.

Outla may include features such as offer creation, public offer links, cover images, pricing sections, payment terms, client-facing links, account settings, plan limits, and billing.


2. Age Requirement

You must be at least 18 years old, or the age of majority in your location, to use Outla.

By using Outla, you confirm that you meet this requirement.


3. Accounts

You must provide accurate account information and keep your login credentials secure.

You are responsible for all activity under your account.

4. Your Content

You retain ownership of the content you create in Outla, including offer text, pricing, images, links, and client information.

By using Outla, you give us permission to host, process, display, and transmit your content as needed to provide the service.

You are responsible for your content and must ensure that you have the right to use and share it.


5. Public Links

Outla allows you to publish offers through public links.

Anyone with a public offer link may be able to view the offer. You are responsible for what you publish and share.

We are not responsible for disputes between you and your clients related to offer content, pricing, project scope, payment terms, or services you provide.


6. Acceptable Use

You agree not to use Outla to:

  • violate laws or regulations;

  • infringe intellectual property or privacy rights;

  • upload malicious code or harmful content;

  • attempt to access accounts, systems, or data without permission;

  • abuse, overload, or disrupt the service;

  • publish misleading, fraudulent, or unlawful content.

We may suspend or remove access if we believe these Terms are being violated.


7. Plans and Limits

Outla may offer free and paid plans.

Plans may include limits such as number of offers per month, custom public slugs, branding controls, storage, analytics, or other features.

We may change plan features or limits over time. If we make material changes to paid plans, we will take reasonable steps to notify affected users.


8. Billing

Paid subscriptions may be processed by third-party payment providers such as Paddle.

By purchasing a paid plan, you agree to the payment provider’s applicable checkout, billing, and buyer terms.

Prices, billing cycles, taxes, and available payment methods may be shown at checkout.


9. Refund and Cancellation Policy

You may cancel your paid subscription at any time through the billing portal or by contacting support. Cancellation prevents future renewals.

Refunds are available in accordance with our Refund Policy. You may request a full refund within 14 days of your initial purchase, without conditions or exceptions.

Because payments may be processed by Paddle as Merchant of Record, Paddle may handle payment processing, taxes, invoices, subscription management, payment disputes, and refund workflows.

10. Downgrades

If you downgrade from a paid plan to a lower plan, some features may become unavailable.

For example, lower plans may limit monthly offer creation, custom slugs, branding removal, or other paid features.

Existing content may remain available, but access to edit, publish, or use certain paid features may be limited depending on your plan.


11. Account Deletion

You may request deletion of your account by contacting support.

After account deletion, we may remove or anonymize your account information and content, unless we need to keep certain information for legal, billing, fraud prevention, security, backup, or dispute resolution purposes.


12. Third-Party Services

Outla relies on third-party infrastructure and service providers for hosting, authentication, storage, payments, email, analytics, and related services.

We are not responsible for outages, errors, or changes caused by third-party services, but we will take reasonable steps to keep Outla reliable.


13. Service Availability

We aim to keep Outla reliable, but we do not guarantee uninterrupted or error-free service.

The service may be unavailable due to maintenance, updates, third-party outages, security issues, or events outside our control.


14. Force Majeure

We are not responsible for delays or failures caused by events outside our reasonable control, including internet outages, hosting failures, payment provider issues, natural disasters, war, government action, labor disputes, or security incidents.


15. Beta and Early Features

Some features may be experimental, incomplete, or changed over time.

We may add, remove, or modify features as the product develops.


16. Intellectual Property

Outla, including its design, software, branding, and product experience, is owned by us or our licensors.

You may not copy, modify, reverse engineer, or misuse Outla except as allowed by these Terms or applicable law.


17. Termination

You may stop using Outla at any time.

We may suspend or terminate access if you violate these Terms, create risk for the service, fail to pay required fees, or use the product unlawfully.


18. Dispute Resolution

If a dispute arises, you agree to contact us first and try to resolve it in good faith before starting any formal legal action.

19. Disclaimers

Outla is provided “as is” and “as available.”

We do not guarantee that the service will meet every requirement, be uninterrupted, or be free from errors.

Outla does not provide legal, financial, tax, or business advice. Offer content, pricing, payment terms, and client agreements are your responsibility.


20. Limitation of Liability

To the maximum extent permitted by law, Outla will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

Our total liability for any claim related to the service will not exceed the amount you paid to Outla in the 3 months before the claim, or $100 if you used a free plan.


21. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we will take reasonable steps to notify users. Continued use of Outla after changes become effective means you accept the updated Terms.
